Terms of Service

These Terms of Service ("Terms") govern your access to and use of the NPU Labs website at npu-labs.com and any related services, products, software, and content provided by NPU Labs ("Service"). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. About us

"NPU Labs," "we," "us," and "our" refer to NPU Labs, an AI software studio operating principally from South Africa. We serve users globally and aim to comply with applicable international law including the EU General Data Protection Regulation (GDPR), the UK GDPR, the California Consumer Privacy Act (CCPA / CPRA), and the South African Protection of Personal Information Act (POPIA).

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. If you use the Service on behalf of an organization you represent that you have the authority to bind that organization to these Terms.

3. Use of the Service

You agree to use the Service only for lawful purposes and in a way that does not infringe on the rights of others or restrict their use and enjoyment of the Service. You will not:

• Use the Service to violate any applicable law or regulation.
• Attempt to gain unauthorized access to any part of the Service or its underlying systems.
• Reverse engineer, decompile, or attempt to extract source code, except where permitted by law.
• Interfere with or disrupt the Service or the servers and networks that host it.
• Use any automated system, including bots or scrapers, to access the Service in a manner that sends more requests than a human reasonably could.
• Use the Service to transmit malicious code, harvest personal data, or harass any person.

4. Intellectual property

All content on the Service, including text, graphics, logos, images, software, and the structure of the site itself, is owned by NPU Labs or its licensors and is protected by copyright, trademark, and other intellectual property laws. You receive no license to that content except as expressly granted in these Terms or in a separate written agreement.

"NPU Labs," "RapportIQ," and "Agentic WoW" are trademarks of NPU Labs. You may not use these marks without our prior written consent.

5. Products and engagements

Information about our products, including RapportIQ and Agentic WoW, is provided for general information. Features, pricing, availability, and descriptions may change without notice. Specific commercial engagements are governed by separate written agreements that take precedence over the general information presented here.

6. Contact submissions and feedback

Information you submit through the contact form is processed in accordance with our Privacy Policy. If you send us suggestions, ideas, or feedback ("Feedback"), you grant us a non-exclusive, worldwide, royalty-free licence to use that Feedback for any purpose, including improving the Service, without obligation to you.

7. Third-party services and links

The Service may contain links to third-party websites, services, or resources. We do not control or endorse those third parties and are not responsible for their content or practices. Your use of any third-party service is at your own risk and is governed by that third party's terms.

8. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted access. We do not warrant that the Service will be error-free, secure, or continuously available.

9. Limitation of liability

To the fullest extent permitted by law, NPU Labs and its directors, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service. Our aggregate liability arising out of these Terms or the Service shall not exceed the greater of (a) one hundred US dollars (USD 100), or (b) the amount you paid us in the twelve months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations of liability, in which case the limitations apply to the maximum extent permitted.

10. Indemnification

You agree to indemnify, defend, and hold harmless NPU Labs from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your infringement of any right of another party.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, including if we believe you have violated these Terms. Sections that by their nature should survive termination will survive, including intellectual property, disclaimer, limitation of liability, indemnification, and governing law.

12. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of South Africa, without regard to its conflict of laws principles. Subject to any mandatory consumer-protection rights you may have under local law, any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of South Africa.

If you are accessing the Service from the European Economic Area, the United Kingdom, California, or another jurisdiction with mandatory consumer-protection rules, nothing in these Terms removes the rights granted to you by those rules.

13. International users

We operate from South Africa. By using the Service from outside South Africa you consent to the transfer of your information to, and processing in, South Africa and any other country where we or our service providers operate. We rely on appropriate safeguards, such as the EU Standard Contractual Clauses where applicable, for international data transfers.

14. Force majeure

We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of nature, war, terrorism, civil unrest, internet outages, government action, or pandemic.

15. Severability and entire agreement

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and NPU Labs regarding the Service and supersede any prior agreements on the same subject.

16. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date reflects the most recent change. If a change is material we will take reasonable steps to bring it to your attention. Continued use of the Service after a change means you accept the updated Terms.
